Waiver and Release of Liability

I (“Participant”) desire to participate in Holy Yoga® Global, LLC ’s Holy Yoga Program(s). In consideration for my participation in the Program(s), I, the undersigned, hereby freely, voluntarily, and without duress executes this Release under the following terms:

Representation. Participant will observe all rules and regulations issued by Holy Yoga Global, LLC. Participant knowingly agrees to conduct himself/herself in a safe and prudent manner and to assume all risks and liability associated with participation in the Program(s), both known and unknown, including injury, claims or other damages.

COVID-19 Acknowledgement. I understand and certify that I have read and agree to comply with the COVID-19 regulations as mandated in the state in which Holy Yoga Global, LLC conducts its Program that I am voluntarily participating in. Also, I will comply with additional requirements of the location(s) and as noted in Exhibit A included as part of this Waiver and Liability Release.

Release and Waiver.

I have read, understand, and will abide by each of the terms and conditions of this WAIVER AND RELEASE OF LIABILITY. I am of legal age to accept these responsibilities AND I agree to be legally responsible for the obligations described in this WAIVER AND RELEASE OF LIABILITY and agree to be bound by its terms. I hereby release, waive and forever discharge Holy Yoga® Global, LLC including its present and former insurers, subsidiaries, parent, affiliates, predecessor, successor, assigns, and their respective owners, members, shareholders, officers, directors, staff, employees, volunteers, contractors, attorneys, and agents (“Released Parties”), from and against any and all claims for any physical or psychological injury, sickness, damage, property damages, or economic or emotional loss as a result of, arising out of, or with respect to, or in connection with any such Holy Yoga Global, LLC Programming. I understand that while the purpose of Holy Yoga Global programming is to have a positive impact on my physical, emotional, and spiritual health and well-being, any nutritional and medical decisions are to be made by me and my doctor. I am aware that yoga has certain inherent risks and hazards that cannot be eliminated, and I assume the risks associated with my participation, which may include, but are not limited to, temporary and permanent physical injuries, pain, dehydration, illness, disability, economic or emotional loss or death. I understand the danger involved in such activities and participate with the knowledge that medical assistance may not be immediately available in the event I become ill or injured. I understand that Holy Yoga Global Trainers, Contractors, and Ambassadors have been taught therapeutic ways of assisting and touch to enhance the Holy Yoga Global® experience and waive any and all rights, claims, or causes of action arising out of such therapeutic ways of assisting and touch. I understand I do not have to participate in assists and can communicate that to the assigned Holy Yoga Global, LLC staff at any time. I am participating in Holy Yoga Global’s Programming at my own risk, voluntarily. I acknowledge the risk of loss, theft, or damage of my personal property at program locations.

I, on behalf of myself and my heirs, executors, administrators, spouse, personal representatives, or any other persons acting on my behalf or on behalf of my estate, knowingly and voluntarily enter into this Liability Release and Waiver and understand that I am hereby waiving, releasing, and discharging, any and all rights, claims, demands, causes of action, obligations, damages, penalties, fees, costs, expenses, medical care costs (except as provided for employee injuries arising out of employment activities as allowable under workers’ compensation), and liability, of any nature, whatsoever, at law or in equity, whether known or unknown to me, whether anticipated or unanticipated, by reason of, or with respect to any cause, matter, or thing whatsoever, including any injury, sickness, damage or loss, regardless or severity, that I may sustain as a result of, with respect to, or in connection with my participation in any such Holy Yoga Global Programming, however caused and whether or not arising in whole or in part from the negligence and alleged negligence of, or any other act or omission of or by Holy Yoga Global or the Released Parties as allowed by law, at any location where Holy Yoga Global performs services, assistance, or advice, regardless of location, be it within the United States, Canada, or Internationally.

In connection with my participation in or attendance at any Holy Yoga Global, LLC Programming, I also understand that audio, video, and/or photographs may be taken, or written materials produced (all such content, the “Media”) and that my name, likeness, image, voice, words, and/or appearance (all such, the “Content”) may be included. I hereby grant to Holy Yoga Global a non-exclusive, perpetual, fully paid-up, irrevocable, worldwide, sub-licensable license in and to the Content as included in the Media, and recognize that Holy Yoga Global owns all rights to the Media, including any copyrights. Holy Yoga Global shall have the right to use, publish, archive, and copy all photographs, videos or audio recordings, interviews, and other written, visual, audio or broadcast media in any format created by me in the course of my participation. As a condition to my authorization, I understand that Holy Yoga Global will not use the Content in a manner that is (or in connection with any material that is) obscene, discriminatory, defamatory, fraudulent, or otherwise unlawful. I understand that I am to receive no compensation. In addition, I waive any right I may have to inspect or approve any product, including written or electronic copy, containing the Content. I hereby hold harmless and release and forever discharge Holy Yoga Global (and those acting on its behalf) from all claims, demands, and causes of action which I, my heirs, executors, administrators, spouse, personal representatives, or any other persons acting on my behalf or on behalf of my estate have or may have by reason of or related to this authorization.

If any portion of this Liability Release and Waiver is found to be invalid, unenforceable, or void, such portion shall be severed from the remaining portions, and will not affect the validity or enforceability of the remaining portions, which will be given full force and effect. This release will be governed by and interpreted in accordance with the laws of the State of Arizona. In the event of any claim, suit or dispute relating to this release or any of the activities or other matters described in it, I agree that such disputes shall be settled by binding arbitration in the City of Phoenix, AZ in accordance with the rules then prevailing of the American Arbitration Association instead of a trial.

I have read or have had read to me each and every word of the foregoing prior to signing it and am fully familiar with the contents thereof. I have had an opportunity to ask any questions that I may have about Holy Yoga® Global. Also, I represent and warrant that I am 18 years or older and legally able to execute this Liability Release and Waiver. It is understood and agreed that this is a RELEASE, WAIVER, AND DISCHARGE and ASSUMPTION OF RISK of all claims and rights I have against Holy Yoga Global and Released Parties arising out of my participation in Holy Yoga Global Programming, and is legally binding on me and my heirs, executors, administrators, spouse, personal representatives, or any other persons acting on my behalf or on behalf of my estate.

“Exhibit A”

(COVID-19 Rules and Procedures)

I understand that I will be required to meet the requirements of Holy Yoga® Global, LLC and the requirements of the facility where the program, activities, training, and/or event is being held. Failure to follow these rules will constitute my immediate discharge from the Retreat and/or event and no refund will be issued to me. Additionally, should I choose to leave the location of the program, training, and/or event for any reason other than medical needs acknowledged by the facility nurse, I will immediately be discharged from the program, training, and/or event and will not be issued a refund or any form compensation.
I understand that in order to attend the program, training, and/or event, I must be free from COVID-19 symptoms. I will immediately notify Holy Yoga Global, LLC if I exhibit COVID-19 symptoms, or if I have had close contact with any individual who has been diagnosed with COVID-19. The CDC defines “close contact” as being within 6 feet of an infected person for at least 15 minutes starting from two days before illness onset (or, for asymptomatic patients, two days prior to specimen collection) until the time the patient is isolated.
Every participant, instructor, Holy Yoga Ambassador, and staff is required to bring their own face covering should the facility or law be enforced; enough for each day of the program, training, and/or event.
If I contract COVID-19 or develop symptoms of illness prior to participating in the program, training, and/or event, Holy Yoga will follow the guidelines of location where the program, training, and/or event is being held. Holy Yoga will make every effort to accommodate the needs of the participants. Holy Yoga is not responsible for any expenditures of the participants who must leave the program, training, and/or event for any reason.
I understand that Holy Yoga® Global, LLC will continue to follow the guidelines of both the CDC and state and local officials. As changes occur, participants will be notified. Holy Yoga Global, LLC will contact the Department of Health Services if any staff member or participant contracts COVID-19 to help make crucial decisions on next steps and facilitate contact tracing.
I understand that, while I participate in the program, training, and/or event, I will be in contact with employees who are also at risk of community exposure. I understand that due to the nature of the program, training, and/or event, social distancing is not always feasible. I understand that no list of restrictions, guidelines, or practices will remove the risk of exposure to COVID-19.
I understand that any expenditures I have incurred as a result of the program, training, and/or event are non-refundable even if I should choose to cancel or not participate. I acknowledge that my registration cannot be transferred to future Holy Yoga programs, training, and/or events.
